Purchases, student accounts, courses, assessments, refunds, and regulated educational services are additionally governed by the Student Terms and Conditions and Refund Policy.

“Website” includes the Examen Elite public website, landing pages, course-information pages, public resources, and related web properties controlled by M2Base LLC, excluding independent third-party sites.

2. ACCEPTANCE OF WEBSITE TERMS

By using the Website, you agree to comply with these Website Terms of Use to the extent permitted by law.

Creating an account, purchasing a course, or accessing paid course materials requires separate affirmative acceptance of the Student Terms and Conditions and related policies.

If there is a conflict concerning a purchase or student account, the Student Terms and Conditions control over these Website Terms for that transaction.

3. PURPOSE OF THE WEBSITE

The Website provides information concerning:

Examen Elite educational services;
insurance prelicensing courses;
study resources;
product features;
pricing;
optional live review services;
customer support; and
related educational information.

The Website may also provide access points for:

account creation;
checkout;
login;
course access;
support requests; and

4. NO GOVERNMENT WEBSITE; NO GOVERNMENT ENDORSEMENT

The Website is a private commercial educational website operated by M2Base LLC.

Unless expressly stated with accurate regulatory identifiers after approval, the Website is not:

a State of Florida website;
a Pearson VUE website;
a NAIFA-Florida website; or
a government licensing portal.

M2Base LLC does not use government names, logos, seals, or references to imply sponsorship or endorsement that does not exist.

Any statement that a course is approved, authorized, registered, or pending will be made only when and to the extent such statement is lawful and factually accurate.

5. INFORMATIONAL PURPOSE; NO PROFESSIONAL ADVICE

Public Website content is educational and informational.

It does not constitute individualized:

financial advice;

insurance-product advice;
medical advice; or
regulatory representation.

8. LIMITED WEBSITE LICENSE

M2Base LLC grants you a limited, revocable, nonexclusive, nontransferable right to access and use the public Website for lawful personal or internal informational purposes.

This limited right does not authorize:

creation of a competing course; or
exploitation of Examen Elite intellectual property.

9. EXAMEN ELITE BRAND AND TRADEMARKS

The Examen Elite name, brand identifiers, logos, slogans, and related marks may be protected trademarks, service marks, trade names, or other source identifiers of M2Base LLC.

You may not use an Examen Elite mark in a way likely to:

confuse consumers;
imply endorsement;
impersonate Examen Elite;
create a misleading domain or social account;
market a competing service; or
falsely suggest affiliation.

Permitted nominative or legally protected uses are not prohibited.

10. NO COPYING, REPUBLICATION, OR COMMERCIAL EXPLOITATION

Unless M2Base LLC gives written permission or applicable law expressly permits the use, you may not:

reproduce substantial portions of the Website;
republish protected text;
copy entire pages;
mirror the Website;
frame the Website in another commercial service;
distribute protected PDFs;
download and redistribute protected media;
resell content;
remove copyright notices;
remove proprietary notices;
create derivative commercial educational materials; or
use Website content to substitute for purchasing or licensing the underlying Examen Elite product.

11. AUTOMATED ACCESS AND SCRAPING PROHIBITED

Without prior written authorization from M2Base LLC, you may not use:

robots;
spiders;
crawlers;
scrapers;
automated browsers;
headless-browser systems;
scripts;
bulk-download tools;
data-mining systems;
automated agents; or
similar technologies

to access, harvest, copy, index, extract, monitor, reproduce, or create a dataset from protected Website content.

This restriction does not prohibit ordinary indexing by a search engine acting consistently with M2Base LLC’s published technical directives or another use M2Base expressly authorizes.

12. ARTIFICIAL INTELLIGENCE AND DATASET RESTRICTIONS

Unless M2Base LLC provides prior written authorization, Examen Elite proprietary Website content and protected course materials may not be used to:

train an AI model;
fine-tune a model;
create a retrieval corpus;
benchmark a commercial model;
build a competing tutoring system;
create a question-generation dataset;
create embeddings for a competing service; or
reproduce substantial protected content through an automated AI workflow.

This section does not prohibit uses that applicable law expressly protects and does not claim ownership of public-domain material.

13. SECURITY AND UNAUTHORIZED ACCESS

You may not:

attempt unauthorized login;
access another user’s account;
obtain or attempt to obtain administrative credentials;
probe or scan the Website for vulnerabilities without authorization;
bypass authentication;
bypass access restrictions;
circumvent rate limits;
inject malicious code;
introduce malware;
conduct denial-of-service activity;
interfere with normal operation;
manipulate checkout;
alter payment requests; or
exploit a technical error for unauthorized benefit.

Discovery of a vulnerability does not grant permission to exploit it.

14. ACCOUNT AND STUDENT AREAS

Student and account areas are governed by the Student Terms and Conditions.

Among other things, student accounts are personal and may not be shared.

Public Website access does not grant access to paid course content.

15. PURCHASES

A purchase made through the Website is governed by:

the Student Terms and Conditions;
the Refund, Cancellation, Access, and Withdrawal Policy;
the applicable Privacy Policy; and
any specific written product terms presented at checkout.

The merchant descriptor on a payment statement may identify the transaction as Examen Elite, M2Base LLC, or a substantially similar approved descriptor.

16. COURSE ACCESS AND REFUNDS

Website descriptions of access and refunds are summaries only.

The controlling rules are contained in the Student Terms and Conditions and Refund Policy presented at checkout.

Examen Elite currently uses a 45-day standard course-access period for the applicable course unless the specific checkout disclosure or law requires otherwise.

17. OPTIONAL LIVE CLASSES

The Website may describe optional live review classes, live Q&A, recordings, or similar supplemental benefits.

Unless expressly stated otherwise in the approved course structure, these supplemental services:

are not mandatory for completion;
do not add regulatory course-credit hours;
do not replace self-study content; and
are not a guarantee of passing an examination.

18. NO PASS GUARANTEE

Unless a separate written promotion expressly and lawfully states otherwise, Examen Elite does not offer a pass guarantee, money-back pass guarantee, license guarantee, employment guarantee, or appointment guarantee.

Testimonials, reviews, statistics, or student experiences must not be interpreted as a promise that another student will achieve the same result.

19. TESTIMONIALS AND REVIEWS

If testimonials or reviews are displayed:

they reflect individual experiences;
results may vary;
they do not guarantee a future result; and
any material relationship, incentive, or sponsorship must be disclosed when required by law.

M2Base LLC may moderate content on properties it controls for spam, unlawful material, impersonation, threats, infringement, or irrelevant content, but will not represent edited feedback as an unaltered statement if the edit materially changes its meaning.

20. THIRD-PARTY LINKS

The Website may link to:

Florida DFS;
Pearson VUE;
NAIFA-Florida;
payment processors;
video platforms;
government pages; or
other third-party resources.

A link is provided for convenience and does not necessarily mean that M2Base LLC controls, endorses, or guarantees the third-party website.

Third-party websites are governed by their own terms and privacy practices.

21. THIRD-PARTY STUDY MANUAL

When Florida DFS requires use or disclosure of an official study manual, Examen Elite may identify the lawful vendor and provide a link.

Unless expressly stated otherwise, the third-party study manual is not sold by M2Base LLC.

M2Base LLC does not acquire ownership of the study manual merely by referring students to it.

22. USER-SUBMITTED CONTENT

If the Website allows comments, reviews, testimonials, support submissions, messages, or other content, you may submit only material that you have the right to provide.

You may not submit:

defamatory content;
threats;
illegal content;
malware;
another person’s confidential information;
copyrighted material you lack permission to post;
false reviews;
impersonation;
spam; or
content intended to compromise Website security.

23. LICENSE FOR USER-SUBMITTED PUBLIC CONTENT

If you intentionally submit content for public display, such as a review or testimonial, you grant M2Base LLC a nonexclusive, worldwide, royalty-free license to host, reproduce, display, and format that submitted content for the purpose for which it was submitted, subject to applicable privacy and endorsement laws.

This section does not convert private support communications into public testimonials.

24. FEEDBACK AND PRODUCT SUGGESTIONS

If you voluntarily provide a suggestion, feature idea, or general feedback about the Website or Examen Elite services, M2Base LLC may use the underlying idea for product improvement without compensation.

This does not transfer ownership of unrelated copyrighted works or confidential material you did not intend to license.

25. COPYRIGHT COMPLAINTS

M2Base LLC may suspend or terminate an account associated with repeated or serious unauthorized distribution of protected material when appropriate and lawful.

27. LINKS TO THE WEBSITE

Ordinary links to public pages are permitted if they:

do not imply false sponsorship;
do not use deceptive anchor text;
do not frame the Website in a misleading way;
do not bypass access controls; and
do not facilitate infringement or unlawful activity.

M2Base LLC may request removal of a link that unlawfully misuses its trademarks or creates material consumer confusion.

28. DOMAIN NAMES AND IMPERSONATION

You may not register, use, or operate a domain name, social-media account, business listing, advertisement, or profile that impersonates Examen Elite or is designed to mislead users into believing an unauthorized site is operated or endorsed by M2Base LLC.

29. EMAIL, SUPPORT, AND COMMUNICATIONS

When you contact Examen Elite, you agree not to:

harass support personnel;
send malware;
submit fabricated evidence;
impersonate another person;
threaten unlawful violence; or
use support systems to conduct spam or attacks.

Examen Elite may preserve communications for support, fraud prevention, legal compliance, quality, or dispute-resolution purposes as permitted by law.

30. PRIVACY

Use of the Website may involve collection of personal information, device data, cookies, analytics data, and other information.

The Examen Elite Privacy Policy describes the personal-information practices applicable to the Website, including the services and technologies actually used.

31. COOKIES AND ANALYTICS

Cookies, analytics, advertising technologies, payment tools, embedded media, and other tracking technologies, if used, are governed by the Examen Elite Privacy Policy and any applicable notice.

Any cookie banner, opt-out tool, or consent mechanism must match actual practices and applicable law.

Examen Elite will not rely on these Website Terms alone to authorize tracking that must be disclosed or consented to under applicable law.

32. WEBSITE AVAILABILITY

M2Base LLC may:

perform maintenance;
update content;
modify navigation;
correct errors;
change features;
address security incidents; or
temporarily suspend public Website access.

M2Base LLC does not guarantee uninterrupted public Website availability.

33. ERRORS AND CORRECTIONS

The Website may contain typographical errors, outdated links, or inadvertent inaccuracies.

M2Base LLC may correct an error when discovered.

A clear pricing or descriptive error does not automatically require M2Base LLC to provide an unintended product or benefit if applicable law allows correction, but Examen Elite will not use this provision to avoid a valid completed transaction or mandatory consumer right.

34. PRICING

Prices and promotions may change for future purchases.

A price change does not retroactively change a completed transaction unless:

the parties agree;
a refund or correction is required; or
applicable law provides otherwise.

35. WEBSITE SECURITY; NO GUARANTEE OF ABSOLUTE SECURITY

M2Base LLC uses reasonable measures appropriate to the Website and its services, but no internet system can be guaranteed absolutely secure.

Users are responsible for using reasonable security practices, including protecting account credentials and maintaining control of their email account and devices.

36. DISCLAIMER OF WARRANTIES

THE WEBSITE WILL ALWAYS BE AVAILABLE;
EVERY LINK WILL REMAIN ACTIVE;
EVERY THIRD-PARTY SITE WILL BE ACCURATE;
EVERY ERROR WILL BE IMMEDIATELY CORRECTED; OR
PUBLIC INFORMATION WILL GUARANTEE A LICENSING OR EXAMINATION RESULT.

THIS DISCLAIMER DOES NOT WAIVE A RIGHT THAT APPLICABLE LAW DOES NOT PERMIT TO BE WAIVED.

37. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, M2BASE LLC, EXAMEN ELITE, AND THEIR MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM GENERAL USE OF THE PUBLIC WEBSITE.

Where a claim arises from a paid student product, the limitation-of-liability provision in the Student Terms and Conditions controls.

NO LIMITATION APPLIES TO THE EXTENT APPLICABLE LAW PROHIBITS THE LIMITATION OR EXCLUSION.

38. INDEMNIFICATION

To the maximum extent permitted by law, you agree to indemnify M2Base LLC and its representatives from third-party claims caused by:

your unlawful Website use;
malicious security activity;
infringement caused by material you submit;
impersonation;
unauthorized commercial exploitation of protected content; or
another material violation of these Website Terms that creates a third-party claim.

You are not required to indemnify M2Base LLC for liability that the law does not permit M2Base LLC to shift to you.

39. SUSPENSION OR BLOCKING

M2Base LLC may block or restrict access when reasonably necessary to address:

malicious traffic;
scraping;
credential attacks;
fraud;
abuse;
infringement;
threats;
automated extraction; or
security risks.

Legitimate users who believe they were incorrectly blocked may contact support.

40. GOVERNMENT REQUESTS AND LEGAL COMPLIANCE

M2Base LLC may preserve or disclose Website information when reasonably necessary and legally permitted to:

comply with a court order;
respond to lawful government process;
cooperate with Florida DFS;
investigate fraud;

protect M2Base LLC’s rights; or

This provision is not intended to create restrictions broader than applicable law.

42. CHILDREN AND LEGAL CAPACITY

The Website is intended for persons legally capable of using the services offered.

Examen Elite does not knowingly invite a person to enter a transaction that the person lacks legal capacity to enter.

Age-related data practices are governed by the Examen Elite Privacy Policy and applicable law.

43. RELATIONSHIP TO STUDENT TERMS

If you create an account, purchase a course, or access paid educational content, you must affirmatively accept the Student Terms and Conditions.

Those Student Terms include:

personal-account requirements;
academic-integrity rules;
refund rules;
intellectual-property restrictions;
limitation of liability; and
a dispute-resolution/arbitration agreement.

The Student Terms control any conflict concerning a student transaction.

44. DISPUTES FOR AFFIRMATIVELY ACCEPTED STUDENT TERMS

If you have affirmatively accepted the Student Terms and Conditions, the dispute-resolution, binding-arbitration, class-action-waiver, jury-waiver, small-claims, opt-out, and governing-law provisions in those Student Terms apply according to their terms.

These Website Terms do not attempt to replace the separate clickwrap evidence supporting the Student Terms.

45. DISPUTES INVOLVING PURE WEBSITE VISITORS

For a visitor who has not affirmatively accepted the Student Terms, M2Base LLC reserves all rights and remedies available under applicable law.

Any court proceeding must be filed in a court with proper subject-matter jurisdiction, personal jurisdiction, and venue under applicable law.

M2Base LLC may seek injunctive or other equitable relief to prevent unauthorized copying, infringement, scraping, security attacks, impersonation, or misuse of its intellectual property or systems.

46. FLORIDA LAW

Except where federal law or another mandatory law controls, these Website Terms are governed by Florida law.

47. CHANGES TO WEBSITE TERMS

M2Base LLC may update these Website Terms prospectively.

Material changes will be posted with an updated effective or revision date.

Where affirmative consent is legally required for a particular change or transaction, continued browsing alone will not be treated as a substitute for that required consent.

48. NO WAIVER

Failure to enforce a provision on one occasion does not waive the right to enforce it later.

49. SEVERABILITY

If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue in effect unless doing so would defeat the essential purpose of the agreement.

50. ASSIGNMENT

M2Base LLC may assign these Website Terms in connection with a lawful merger, acquisition, reorganization, sale of the Examen Elite business, or transfer of relevant assets.

A visitor may not assign rights in a manner that would create unauthorized commercial use of the Website.

51. NO PARTNERSHIP OR AGENCY

Use of the Website does not create a partnership, employment relationship, franchise, fiduciary relationship, or agency relationship between the visitor and M2Base LLC.

52. ENTIRE WEBSITE AGREEMENT

These Website Terms, together with policies expressly incorporated for a specific Website function, constitute the agreement governing general Website use.

Purchases and student services remain subject to the separate Student Terms and Conditions and Refund Policy.
